1. Acceptance of Terms

By accessing, browsing, or using any part of the AkruNX website or its services, you agree to be bound by these Terms and Conditions, including any additional policies referenced herein. If you do not agree to these terms, you must discontinue use of our services immediately.

AkruNX provides strategic consulting, business diagnostics, systems implementation, and support services across core business pillars, including but not limited to:

• Business Development

• Operational Efficiency

• Technology Management

• Product Development

All services are subject to change, suspension, or termination at our discretion without prior notice.

3. User Obligations

As a user or client, you agree to:

• Provide accurate and complete information when engaging with our services

• Refrain from using our platforms for any unlawful or unauthorized purpose

• Respect intellectual property rights and proprietary content shared during the engagement

• Follow payment schedules, usage guidelines, and confidentiality clauses as agreed upon during onboarding

4. Intellectual Property

All content, tools, strategies, templates, and documentation provided by akruNX remain the intellectual property of akruNX and/or DCLA Inc., unless otherwise stated in writing.

You may not reproduce, distribute, or exploit any of our materials without prior written consent.

5. Payment and Refunds

All fees, pricing tiers, and payment terms are clearly stated in your client proposal or agreement.

Refunds are subject to the specific conditions stated in the client engagement contract. akruNX reserves the right to withhold service delivery in case of delayed or incomplete payment.

6. Limitation of Liability

To the maximum extent permitted by law, AkruNX and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from:

• Use or inability to use our services

• Errors or omissions in content

• Unauthorized access or misuse of data

Our liability shall not exceed the total fees paid to AkruNX for the services in question.

7. Confidentiality

All parties agree to maintain the confidentiality of sensitive business information exchanged during engagement, unless:

• Required by law

• Explicitly waived in writing

• Already publicly available

Non-disclosure agreements (NDAs) may be executed separately upon request.

8. Termination

We reserve the right to terminate or suspend access to our services immediately and without liability for any breach of these Terms and Conditions or other agreements.

Upon termination, all proprietary materials provided by akruNX must be returned or deleted, and all outstanding dues must be settled.

9. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

Any disputes, legal claims, or proceedings shall be exclusively resolved in the proper courts of the Republic of the Philippines, to the exclusion of all other jurisdictions.

10. Changes to Terms

AkruNX may revise these Terms and Conditions at any time without prior notice. Continued use of our services after such changes constitutes your acceptance of the updated terms.
